Contract work: drafting and review of contracts

28.02.2022

Contract work means drafting contracts, legal review of drafts received from counterparties and negotiating the terms before signing. KORGAN Law Firm drafts contracts for businesses in Kazakhstan for the specific transaction rather than from a standard template: a well-drafted contract is the basis of cooperation and protects you in a dispute if something goes wrong.

What contract work includes

  • Drafting a contract from scratch or adapting a standard form to your transaction.
  • Legal review of a draft sent by the counterparty: which terms are unfavourable to you and what to propose instead.
  • Agreeing the contract with the counterparty: comments on the draft, a protocol of disagreements, negotiations on disputed terms.
  • Contracts in English.
  • Pre-trial negotiations if the counterparty breaches the contract: a claim and a search for a solution without going to court.

Contracts we draft

  • Work contract — a detailed description of the subject, deadlines, acceptance and payment procedure, liability of the parties.
  • Service agreement — the list of services, their cost and payment terms, rights and obligations of the contractor and the customer.
  • Supply agreement — terms and deadlines of delivery, quality requirements, acceptance, payment, liability for breach.
  • Carriage contract — terms of carriage, vehicle requirements, acceptance and delivery of cargo, liability of the carrier and the customer.
  • Employment contract — in line with labour law and the employee’s job duties.
  • Public contract — for dealing with a wide range of customers.
  • Lease of offices, warehouses and industrial sites, purchase and sale, pledge, equipment leasing, concession, non-disclosure agreements (NDA) and others.

Local acts of the company

  • Employer’s orders: hiring, vacations, business trips, termination of employment contracts, labour protection and safety.
  • Employment and collective agreements.
  • Internal labour regulations, regulations on remuneration, business travel, personnel policy, departments and performance appraisal.
  • Regulations on safety and labour protection, fire safety instructions.
  • Regulations on trade secrets, procedure for storing employees’ personal data.
  • Electronic document management rules and the company’s internet security policy.

How we work

  1. We study your task, the terms of the transaction and your wishes.
  2. We analyse the risks of this particular transaction.
  3. We draft the contract from scratch or adapt a standard form.
  4. We include terms that reduce your risks.
  5. We agree the draft with you and, if necessary, with the counterparty, and make amendments.

Cost

The cost of drafting a contract depends on its type and complexity and is agreed before work starts. If you have many contracts, legal support of business is more cost-effective: contract work is included in the monthly package — 5, 10 or unlimited contracts per month, above the package 40,500 tenge per contract, a contract in English costs an additional 28,000 tenge (prices include VAT).

Sample contracts

Standard forms of lease, work, carriage and residential rental contracts are available on the page «Sample contracts» (in Russian). A standard sample does not take your transaction into account, so show it to a lawyer before signing.

Frequently asked questions

How much does drafting a contract cost?

The cost depends on the type and complexity of the contract and is agreed before work starts. If you have many contracts, legal support of business is more cost-effective: contract work is included in the monthly package.

Why is a contract drafted for the transaction better than a standard sample?

A standard sample does not take your transaction into account. We analyse the risks of this particular transaction and include terms that reduce them: the subject, deadlines, acceptance and payment procedure, liability of the parties. If you already have a standard form, we can adapt it to the transaction. Show a standard sample to a lawyer before signing.

Can you review a draft sent by the counterparty?

Yes. A legal review shows which terms are unfavourable to you and what to propose instead. Based on it, we prepare comments or a protocol of disagreements and, if necessary, negotiate the disputed terms.

Do you draft contracts in English?

Yes, contracts in English are part of our contract work.

What if the counterparty breaches the contract?

We start with pre-trial negotiations: a claim and a search for a solution without going to court. If that does not work — debt recovery and representation in court.
